Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Nella, including our mobile applications, website, subscriptions, generated meditation sessions, journaling features, support services, and related online services (collectively, “Nella” or the “Service”). Nella is operated by Searcherbase, LLC (“Searcherbase,” “we,” “us,” or “our”).

Please read these Terms carefully. By creating an account, starting onboarding, purchasing or redeeming a subscription, downloading the app, or using Nella, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Nella.

1. What Nella does

Nella is a consumer meditation and self-reflection app for adults. The Service may let you:

Nella uses automated systems, including large language models, embeddings, text-to-speech systems, storage providers, analytics tools, billing providers, and other service providers. Generated scripts, audio, prompts, titles, summaries, and journal observations may be incomplete, inaccurate, repetitive, unavailable, delayed, or inappropriate for your circumstances. We may modify, replace, remove, or discontinue features, providers, models, voices, content, plans, pricing, or availability as the product evolves.

2. Adult use only

You must be at least 18 years old to use Nella. Do not use Nella if you are under 18. You represent that you are legally able to enter into these Terms. If we learn that an account belongs to someone under 18, we may suspend or delete the account.

3. No medical, therapy, or crisis service

Nella is not medical care, therapy, psychiatry, counseling, coaching, diagnosis, treatment, prevention, crisis response, or emergency support. Nella does not create a doctor-patient, therapist-client, counselor-client, fiduciary, or other professional relationship. We are not licensed medical or mental health providers, and Nella is not intended to diagnose, treat, cure, prevent, monitor, or alleviate any disease, condition, disorder, crisis, or injury.

Do not disregard professional advice or delay seeking it because of anything in Nella. Consult qualified professionals for medical, mental health, legal, financial, spiritual, or other professional questions. If you may harm yourself or someone else, feel unsafe, are experiencing a medical or mental health emergency, or need urgent support, call local emergency services, contact a crisis line, or reach out to a trusted person immediately.

Nella may include safety-oriented prompts or responses when serious content is detected, but we do not guarantee that Nella will detect crisis content, respond appropriately, monitor your use, contact you, contact anyone for you, or provide emergency intervention. Do not use Nella while driving, operating machinery, or doing anything that requires attention to your surroundings.

4. Accounts and security

Nella requires an account to save your onboarding progress and use the app. You agree to provide accurate information, keep your account credentials secure, and promptly notify us of unauthorized access. You are responsible for activity on your account, including activity by anyone you allow to use your device or account.

You may not sell, transfer, share, or sublicense your account or subscription except as expressly allowed by a family plan or other plan terms we make available. We may refuse registration, reclaim account identifiers, require account verification, suspend access, or close accounts where reasonably necessary to protect Nella, comply with law, prevent abuse, or enforce these Terms.

5. Subscriptions, trials, and billing

Some parts of Nella require a paid subscription or active entitlement. Subscription plans, prices, renewal periods, trial eligibility, family plan limits, promotions, and included features are shown in the app, on our website, in the applicable app store, or in the offer presented to you at checkout. The offer presented at checkout controls for that purchase.

Subscriptions may renew automatically unless canceled before the end of the current billing period or trial period. If you start a free trial or promotional offer, the offer may convert to a paid subscription unless you cancel before the trial or promotional period ends. We may determine trial or promotional eligibility and may change or end offers as permitted by law.

For purchases through the Apple App Store, Google Play, or another third-party store or billing provider, your purchase, renewal, cancellation, refund, chargeback, and payment method are handled by that third party and are subject to its terms, policies, and controls. We use billing providers, including RevenueCat, to manage paywalls, purchase events, and entitlements, but we usually cannot cancel, refund, or reverse app-store purchases for you.

You can cancel future renewal through the subscription settings for the platform where you purchased. Canceling renewal ordinarily preserves access through the end of the paid billing period. Deleting your Nella account, deleting the app, signing out, losing access to your device, or contacting us does not cancel an Apple App Store or Google Play subscription.

Subscriptions purchased directly through Nella using RevenueCat Billing are tied to your Nella account. Deleting your account immediately cancels that subscription and ends the associated access, including any remaining subscription time. Previous payments are not automatically refunded, and a deleted web subscription cannot be restored to a new Nella account. Refunds are otherwise handled under the applicable store or billing provider policy unless we expressly state otherwise or applicable law requires otherwise.

You are responsible for taxes, fees, internet access, device costs, and any charges imposed by your carrier, app store, bank, or payment provider. We may suspend or terminate paid access if a payment fails, a purchase is reversed, an entitlement expires, fraud or abuse is suspected, or a billing provider reports that access is no longer valid.

6. Your content

“Your Content” means intentions, journal entries, feedback notes, practice context, support messages, and other text or material you submit to Nella. You retain any rights you have in Your Content.

You grant Searcherbase a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, analyze, modify, create derivative works from, display to you, and otherwise use Your Content as needed to:

We do not claim ownership of Your Content. We do not publish your journals, intentions, or generated sessions as community content. Your Content may be private to your account in ordinary operation, but it is not end-to-end encrypted and may be processed by Searcherbase systems and service providers as described in our Privacy Policy.

You represent that you have the rights needed to submit Your Content and that Your Content and your use of Nella will not violate law, these Terms, or anyone else’s rights. Do not submit information that you are not comfortable having processed by a cloud-based, AI-enabled service.

7. Generated content and Service content

Nella may generate or provide scripts, audio, text, titles, descriptions, summaries, journal observations, library content, visuals, voices, software, designs, interfaces, logos, trademarks, and other materials (“Service Content”). As between you and Searcherbase, Searcherbase and its licensors own Nella and Service Content, except for Your Content.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Nella and Service Content for your own personal, non-commercial meditation and self-reflection practice. You may not sell, publish, distribute, train models on, make datasets from, publicly perform, commercially exploit, or create competing products from Service Content without our written permission.

Generated content may be similar or identical across users, may be based on shared prompts or patterns, and may not be unique to you. We may use feedback, quality signals, aggregate data, and de-identified information to evaluate and improve Nella, but your rights in Your Content remain yours.

8. Acceptable use

You agree not to:

We may investigate suspected violations and may remove content, limit generation, suspend access, terminate accounts, preserve relevant information, or cooperate with law enforcement or third parties where appropriate.

9. Third-party services and app stores

Nella depends on third-party services, including app stores, authentication providers, cloud infrastructure, Supabase, AI providers, text-to-speech providers, analytics providers, error-reporting providers, object-storage providers, billing providers, and device operating systems. Third-party services may be unavailable, delayed, changed, discontinued, or subject to their own terms and privacy policies. We are not responsible for third-party services, third-party content, or third-party decisions.

If you download Nella from Apple, Google, or another app store, you must also comply with that store’s terms. The app store provider is not responsible for Nella, support, warranties, claims, maintenance, content, or intellectual property issues except to the extent its terms say otherwise. Apple and its subsidiaries are third-party beneficiaries of these Terms for iOS apps to the extent required by Apple’s terms, and Apple may enforce these Terms against you as a third-party beneficiary.

10. Privacy, communications, and reminders

Our Privacy Policy explains how we collect, use, disclose, retain, and delete personal information. By using Nella, you consent to receive Service-related electronic communications, including account, subscription, security, support, legal, and transactional messages. You can manage optional push notifications and local reminders through the app or your device settings. Turning off optional communications may affect some features, but we may still send required Service-related messages.

11. Account deletion

You may delete your account in the app or request deletion as described on our Account & Data Deletion page. Account deletion is permanent and generally deletes or de-identifies personal information associated with your account, subject to lawful exceptions for security, fraud prevention, billing, accounting, dispute resolution, legal compliance, backup rotation, and legitimate business records.

Account deletion does not cancel Apple App Store or Google Play subscriptions. You must cancel those subscriptions through the applicable store to stop future billing. Account deletion does immediately cancel subscriptions purchased directly through Nella using RevenueCat Billing, permanently ends their associated access, and does not automatically refund previous payments.

12. Suspension and termination

You may stop using Nella at any time. We may suspend, restrict, or terminate your access to Nella, with or without notice, if we reasonably believe that:

Upon termination, your right to use Nella and Service Content ends. Sections that by their nature should survive will survive, including ownership, content licenses, disclaimers, limitations of liability, indemnity, dispute terms, and payment obligations.

13. Disclaimers

To the fullest extent permitted by law, Nella and Service Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, or that generated content will meet your needs.

We do not guarantee that Nella will be error-free, secure, timely, complete, preserved without loss, always available, compatible with every device, or appropriate for your circumstances. You are responsible for deciding whether and how to use Nella, including whether any meditation, journal entry, reminder, or generated content is appropriate for you.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you. Nothing in these Terms limits rights that cannot be limited under applicable law.

14. Limitation of liability

To the fullest extent permitted by law, Searcherbase and its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; loss of goodwill; emotional distress; personal injury; business interruption; device failure; or damages arising from third-party services, generated content, professional decisions, crisis events, unauthorized access, or inability to use Nella, even if we were advised of the possibility.

To the fullest extent permitted by law, our total liability for all claims relating to Nella or these Terms will not exceed the greater of (a) the amount you paid to Searcherbase for Nella in the 12 months before the event giving rise to the claim, or (b) USD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud or intentional misconduct where such exclusions are prohibited.

15. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Searcherbase and its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to Your Content, your use or misuse of Nella, your violation of these Terms or law, your infringement or violation of another person’s rights, or your fraud, negligence, or willful misconduct. We may control the defense of any matter subject to indemnification, and you agree to cooperate with us.

16. Changes to Nella or these Terms

We may update Nella and these Terms from time to time, including to reflect product changes, provider changes, legal requirements, security needs, billing changes, or business updates. If we make material changes to these Terms, we will update the date above and provide notice where required or appropriate, such as in the app, on the website, or by email. Changes are effective when posted unless we say otherwise. Your continued use of Nella after changes become effective means you accept the updated Terms.

17. Governing law and informal resolution

Except where prohibited by applicable law, these Terms and any dispute relating to Nella are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. Mandatory consumer protection rights in your jurisdiction still apply.

Before starting a formal legal proceeding, you and Searcherbase agree to first try to resolve the dispute informally. Send a written notice to legal@searcherbase.app with your name, account email, a description of the dispute, and the relief you seek. We will do the same if we have a dispute with you. The parties will try in good faith to resolve the dispute for 30 days after notice is received.

18. Arbitration and class action waiver for U.S. users

If you are located in the United States, and except where prohibited by law, you and Searcherbase agree that any dispute, claim, or controversy arising out of or relating to Nella or these Terms will be resolved by binding individual arbitration rather than in court. This includes claims based in contract, tort, statute, fraud, consumer protection, privacy, product liability, or any other legal theory.

You and Searcherbase waive the right to a jury trial and the right to participate in a class action, class arbitration, private attorney general action, or other representative proceeding. The arbitrator may award relief only on an individual basis and only to the extent necessary to resolve your individual claim.

This arbitration agreement does not prevent either party from bringing an individual claim in small claims court, seeking emergency injunctive relief in court, reporting to government agencies, or pursuing claims that cannot be arbitrated under applicable law.

Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, unless another forum is required by law or mutually agreed. The arbitration will occur in New York, by video, by phone, or through written submissions, as the arbitrator determines is fair and practical. Each party will pay arbitration fees as required by the applicable rules, subject to fee-shifting rights available under law.

You may opt out of this arbitration agreement by emailing legal@searcherbase.app within 30 days after you first accept these Terms. Your email must include your name, account email, and a clear statement that you want to opt out of arbitration. Opting out of arbitration does not opt you out of any other part of these Terms.

19. International use

Searcherbase is based in the United States. We make no representation that Nella is appropriate or available in every location. You are responsible for complying with local laws. You may not use Nella where prohibited by law or where doing so would require us to comply with laws or regulatory obligations that we have not agreed to. You may not use or export Nella in violation of U.S. export controls, sanctions, or other applicable trade restrictions.

20. Miscellaneous

These Terms, together with the Privacy Policy and any terms presented at checkout or in-app for specific features, are the entire agreement between you and Searcherbase regarding Nella. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
